BOARD OF DIRECTORS MEETING

Minutes of the Meeting

Call to Order: President Joyce Dunn called the regular meeting of the Board of Directors of the Carolina Shores Property Owners Association to order at 5:30 P.M.

Board Members Present: Linda Pennington, Dave Jones, Jan Knorr, Pete Gulliver, Al Franklin, Kerry Jarrell, and Joyce Dunn.

Approval of March Minutes. On page one, the word file was corrected to read fine. The minutes were approved as corrected.

REPORTS FROM BOARD COMMITTEES

TREASURER'S REPORT
Treasurer Dave Jones distributed copies of the latest revised budget. Due to time constraints, Joyce Dunn suspended further discussion on the budget. She asked that members look at it and e-mail each other their comments.

Kerry Jarrell reported that he has been working closely with Maslin Kain to make the transition of oversight of the office bookkeeping function from her to himself. He expects the time required of Maslin to complete the transition will stay within the amount budgeted for her services for 2009. Jarrell also stated that he believes that some sort of accounting support will be an ongoing requirement and a Board member, a staff member, or an accounting professional may provide that accounting support."

FACILITIES MAINTENANCE COMMITTEE (Pete Gulliver Liaison)

Grounds Maintenance
Pete Gulliver reported that Verity Landscaping has started working under contract for the POA. Gulliver stated that the F/MC plans to concentrate on the POA building and the tennis courts this year and the other areas later.

Pool
Linda Pennington reported that the pumps for the pool were leaking. Al Franklin advised her to call Sunshine Pools. The pool will open Mother's Day weekend, but ADT has not yet installed a new card reader at the gate.

Tennis Courts
Linda Pennington reported that the complaint about the water fountain at the tennis courts has not been resolved.

HVAC
Pete Gulliver explained that there are five separate zone controls for the HVAC system in the clubhouse and they seem to work against each other, consuming large amounts of electricity. He further explained that one recommendation of the reserve system study is to replace one unit every three years, meaning that the entire system would be replaced in 15 years. He cautioned that there could be code upgrade issues to be resolved once work begins on the first unit. Therefore, Sandpiper Heating and Air Conditioning has been asked to evaluate the HVAC system and to the give an estimate of the cost of replacing all five systems at the clubhouse at one time. Joyce Dunn asked that Gulliver stay in touch with Brent Horton who volunteered to serve on the Facilities Maintenance Advisory Committee.

COMMUNICATIONS ADVISORY COMMITTEE (Jan Knorr, Liaison)
Jan Knorr had nothing to report from the communications committee.

NOMINATING COMMITTEE
There was no report from the nominating committee.

BOARD ADVISORY COMMITTEE
The By-Laws state that there is to be a Board Advisory Committee. Pete Gulliver volunteered to start up this committee and reported that he invited residents to serve on it. However, since only one person attended the initial meeting, this committee will be put on hold and Pete will ask again in three or four months for volunteers to serve on this committee.

ARCHITECTURAL CONTROL COMMITTEE (Al Franklin, Liaison)
Al Franklin reported that there was nothing from the Architectural Control Committee (ACC) other than the three hearings scheduled at the conclusion of the board meeting.

Unfinished (Old) Business

Memorial Day Picnic
Linda Pennington stated that volunteers were needed for the Memorial Day picnic scheduled for May 24, 2009.

Oakbark/Pinebark Property
Al Franklin moved to send a letter to the Town of Carolina Shores and the Leaches to advise them of the POA restrictions on subdividing lots. The motion passed 4-3.

Joyce Dunn recessed to hear appeals from the ACC at 6:42pm. Due to the late hour after the member discussion meeting, the Board meeting never resumed."
